Pro-Active Toner Replenishment Terms and Conditions

Software:

The Page Logic remote meter software is provided as a convenience to program participants and remains the property of Leppert Business Systems Inc.  It has no commercial value and cannot be modified or altered.

Program Offering:

The Leppert Pro-Active Toner Replenishment Program is offered as a service to select clients and is provided without warranty or guarantee.  The program provides early warning capabilities however it does not guarantee in all instances that warning will be provided in advance of toner level expiring on any given device.  The program is provided on a "best efforts basis" and Leppert Business Systems shall not be held liable for any third party or incidental costs or damages which may occur as a result of failure to notify in advance of a toner cartridge expiring or failing to print.

TEST Pilot Program:

Participants in the TEST Pilot Program do so understanding that the program may be discontinued if in the opinion of Leppert Business Systems it is not viable for continuation.  Participants agree to respond and provide feedback on the use of the service as required, (not be be unduly requested) to assist Leppert to develop the best program available for clients. 

Contract Term:

The anticipated initial contract term for the program shall be one year.  Following the first year the program shall renew for a further year on a year by year basis.  At any time a program participant may cancel their participation in the program on thirty days notice supplied in writing to Leppert Business Systems upon which notice the reporting software shall be disconnected.

Toner Supply:

The Pro-Active Toner Replenishment Program may include automatic toner distribution or manual (each toner delivery is approved separately by the client) based upon separate ageement between Leppert and the client.  Clients may choose not to have Leppert fulfil their toner requirements while continuing to use the Pro-Active Toner Replenishment notification service.  Leppert may elect to cancel the notification program at its discretion at any time and shall advise any client affected by this decision.

Toners supplied under the program shall be OEM or suitable compatible toners at then established prices as agreed between the parties.  No provision in this program shall superceded toner supply agreements established by clients and Leppert under support programs, PPP plans, Managed Print Management Plans or other separate agreements.

Maintenance and Support of Software:

Leppert shall determine the need for alternation or maintenance of the reporting software which is used by clients as part of the program.  Clients shall be notified of requirements for upgrades, re installation, maintenance or other work with the software and Leppert technical resources shall carry out the work needed as expeditiously as possible.

Termination:

This program shall be offered on an ongoing basis as long as Leppert Business Systems deems appropriate.  No agreement shall require Leppert to continue the service if in its sole opinion Leppert determines that it is advisable to discontinue the service.
